These Storefront Supplemental Terms (“Storefront Terms”) are Supplemental Terms under Section 1.2 of the Postal Terms of Use (the “Terms of Use”) and are incorporated into and form part of your agreement with Postal Music Group, Inc. (“Postal”, “we”, “us”). Capitalized terms not defined here have the meanings given in the Terms of Use.

These Storefront Terms apply to any user who lists, sells, or licenses Content, or who offers a Creator Service, through Storefront (a "Creator"), and to any user who purchases or licenses Content, purchases a Creator Service, places a bid in an Auction, or joins a Room through Storefront (a "Buyer"). A user who places a bid is a Buyer for the purposes of these Storefront Terms whether or not that bid is successful.

In the event of a conflict between these Storefront Terms and the Terms of Use, these Storefront Terms control with respect to Storefront. All other provisions of the Terms of Use, including Section 12 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 18 (Arbitration Agreement), and Section 19.8 (Governing Law), apply in full to Storefront and are incorporated here by reference. These Storefront Terms, and your relationship with Postal, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. An individual license granted by a Creator to a Buyer is a separate agreement to which Postal is not a party, and is governed by the law stated in that license; Section 19.8 of the Terms of Use does not apply to it.

BY LISTING CONTENT OR OFFERING A CREATOR SERVICE ON STOREFRONT, OR BY PURCHASING OR LICENSING CONTENT, PURCHASING A CREATOR SERVICE, PLACING A BID IN AN AUCTION, OR JOINING A ROOM THROUGH STOREFRONT, YOU AGREE TO BE BOUND BY THESE STOREFRONT TERMS.

1. Role of Postal

1.1 Storefront is a technology platform that allows Creators to list, price, license, and deliver Content (“Storefront Content”) to Buyers.

1.2 Postal is not a party to any transaction, license, or agreement between a Creator and a Buyer. Postal does not own, sell, license, sublicense, resell, distribute, or take title to any Storefront Content.

1.3 Postal acts solely as a venue and as a limited payment collection agent for the Creator, and as the Creator's limited agent for the purpose of generating and delivering license and service documentation to Buyers on the Creator's behalf. Postal is not a bank, escrow agent, fiduciary, broker, or money transmitter.

1.4 Nothing in these Storefront Terms creates a partnership, joint venture, employment, agency (other than the limited agency described in Sections 1.3 and 5), or fiduciary relationship between Postal and any Creator or Buyer.

2. The License Is Between Creator and Buyer

2.1 Every license granted through Storefront is granted directly by the Creator to the Buyer.

2.2 Postal is not a licensor, sublicensor, agent, or guarantor of any license granted through Storefront.

2.3 Postal makes no representation or warranty that any license is valid, enforceable, or sufficient for any Buyer's intended use, or that any Creator holds the rights necessary to grant it.

2.4 Postal has no obligation to enforce any license against any party, and no obligation to assist any Creator or Buyer in enforcing a license.

3. License Forms Are Standard, Not Legal Advice

3.1 Postal makes standard license forms available through Storefront. Every license granted through Storefront is granted on the Postal standard form corresponding to the tier the Buyer selects, in the version in effect at the time of the transaction.

3.2 These forms are provided “as is,” for convenience only, and do not constitute legal advice. Postal is not a law firm and does not provide legal services.

3.3 Postal does not review, approve, verify, or endorse any commercial terms a Creator configures, including pricing, tier availability, publishing share, or credit settings. Creators cannot modify, draft, or upload license text.

3.4 Creators and Buyers are solely responsible for determining whether a given license is appropriate for their circumstances and intended use, and should consult their own legal counsel.

3.5 To the maximum extent permitted by law, Postal disclaims all liability arising from the use of, reliance on, modification of, or any defect or omission in any license form made available through the Service.

3.6 Postal generates license and service documentation automatically from the options a Creator and a Buyer select. That documentation is produced by an automated process without legal review of any individual transaction. Each Creator and each Buyer uses the automated documentation at its sole risk and is solely responsible for satisfying itself that the resulting agreement is appropriate to its circumstances. Postal does not provide legal advice and is not a law firm.

4. Creator Representations and Warranties

By listing Storefront Content, a Creator represents and warrants, on a continuing basis and as of the date of each sale, that:

(a) it owns or controls all rights, title, and interest in and to the Storefront Content, including all sound recording, master, and musical composition rights, or has obtained all clearances, licenses, and consents necessary to grant the licenses it offers;

(b) the Storefront Content does not and will not infringe, misappropriate, or violate the intellectual property, publicity, privacy, moral, or contractual rights of any third party;

(c) all samples, loops, interpolations, vocals, and third-party materials contained in or used to create the Storefront Content are original to the Creator or fully cleared for the license terms offered;

(d) it has the full legal capacity, right, and authority to grant the licenses it offers, and doing so does not breach any agreement to which it is a party, including any exclusive recording, publishing, production, or administration agreement;

(e) all featured contributors, co-writers, producers, and performers have consented to the sale and licensing of the Storefront Content on the terms offered;

(f) the Storefront Content, its listing, its metadata, and its artwork comply with all applicable laws and with the Terms of Use; and

(g) all information the Creator provides to Postal or to Stripe in connection with Storefront, including payout and tax information, is true, accurate, current, and complete.

5. Payments, Fees, Refunds, Chargebacks, and Taxes

5.1 Seller of record. The Creator is the seller of record for all Storefront transactions. Postal acts solely as a limited payment collection agent for the Creator.

5.2 Processing. Payments are processed by Stripe, Inc. and are subject to the Stripe Connected Account Agreement and Stripe's terms and privacy policy. Funds settle to the Creator's Stripe connected account, less Postal's platform fee.

5.3 Platform fee. Postal retains a platform fee on each transaction, as disclosed in the Service. Postal may change its platform fee on notice in accordance with Section 19.6 of the Terms of Use.

5.4 Availability. Storefront payouts depend on Stripe's availability in a Creator's jurisdiction. Postal does not guarantee that Storefront or payouts will be available in any particular country or region, and may suspend or withdraw availability at any time.

5.5 Refunds. Refund terms for Storefront purchases are stated in the applicable license: digital deliverables are non-refundable once downloaded, except in the event of the Creator’s breach of its rights warranties. Refunds are the Creator’s obligation. Postal may, at its sole discretion and without assuming liability or any ongoing duty, issue a refund to a Buyer and recover the amount from the Creator’s current or future payouts.

5.6 Chargebacks. Chargebacks, payment reversals, and associated fees are the Creator's responsibility and may be deducted from current or future payouts or invoiced to the Creator. Postal may require the Creator to maintain a reserve.

5.7 Withholding. Postal may withhold, delay, or reverse any payout where it reasonably suspects fraud, infringement, chargeback risk, or a breach of these Storefront Terms or the Terms of Use. Postal has no liability for lost sales, lost revenue, or lost opportunity resulting from such action.

5.8 Taxes. Each Creator is solely responsible for determining, collecting, reporting, and remitting all taxes arising from its Storefront sales, and for any registration obligations in any jurisdiction. Postal does not provide tax advice.

6. Buyer Acknowledgments

By purchasing or licensing Storefront Content, purchasing a Creator Service, placing a bid in an Auction, or joining a Room, the Buyer acknowledges and agrees that:

(a) it is contracting with the Creator, not with Postal;

(b) Postal makes no representation or warranty as to the ownership, originality, clearance status, quality, fitness for purpose, or non-infringing character of any Storefront Content;

(c) Postal does not verify a Creator's rights and has no obligation to do so;

(d) any claim relating to Storefront Content or to a license lies against the Creator, and not against Postal;

(e) the Buyer is solely responsible for its use of Storefront Content and for obtaining any additional clearances, licenses, or consents that its intended use may require, including any sample clearance, publishing, or master use license required by a third party;

(f) removal or delisting of Storefront Content following an infringement claim does not, by itself, terminate a license validly granted before removal; however, a license granted by a Creator who lacked the rights to grant it may be void from inception, and the Buyer’s remedy in that event lies against the Creator under the license’s warranty and indemnity provisions, not against Postal. Postal is not obligated to refund the Buyer in either event; and

(g) the Buyer will look solely to the Creator for any remedy and, to the fullest extent permitted by law, waives and releases any claim against Postal in connection with Storefront Content or any license.

7. No Verification, No Endorsement

7.1 Postal does not screen, verify, authenticate, or audit Creators, Storefront Content, rights ownership, clearance status, or license terms, and has no obligation to do so.

7.2 Listing on Storefront is not an endorsement by Postal.

7.3 Any verification badge, curation, editorial selection, featured placement, invitation, or recommendation by Postal is for discovery purposes only and constitutes no representation as to rights, ownership, clearance, quality, or fitness for any purpose.

8. Disputes Between Creators and Buyers

8.1 Any dispute between a Creator and a Buyer is solely between those parties.

8.2 Postal has no obligation to intercede, investigate, mediate, arbitrate, or resolve any such dispute. If Postal elects to assist, doing so creates no duty, precedent, or liability, and Postal may cease doing so at any time.

8.3 Each Creator and Buyer, to the fullest extent permitted by law, releases Postal and the Postal Parties from all claims, demands, damages, and liabilities of every kind, known and unknown, arising out of or connected with any dispute between users of Storefront.

9. Infringement Claims, Removal, and Takedown

9.1 Postal maintains a notice-and-takedown process as described in Section 15 of the Terms of Use.

9.2 Postal may remove Storefront Content, delist packs, void listings prospectively, suspend or reverse payouts, or terminate accounts in response to a claim of infringement or a suspected violation of the Agreement, at its sole discretion and with or without notice.

9.3 Postal terminates repeat infringers.

9.4 Removal or delisting does not obligate Postal to refund any Buyer or to compensate any Creator, and creates no duty on Postal to investigate or adjudicate the underlying claim.

10. Creator Indemnification

The Creator will defend, indemnify, and hold harmless Postal and the Postal Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) the Storefront Content; (ii) any license granted by the Creator; (iii) any breach of the representations and warranties in Section 4; (iv) any dispute between the Creator and a Buyer; (v) any tax or regulatory obligation of the Creator; (vi) any chargeback, reversal, or refund obligation; or (vii) the Creator's use of Storefront. This obligation survives termination.

11. Buyer Indemnification

The Buyer will defend, indemnify, and hold harmless Postal and the Postal Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to the Buyer's use, exploitation, distribution, or commercial release of Storefront Content, or the Buyer's breach of any license. This obligation survives termination.

12. Disclaimer of Warranties

STOREFRONT AND ALL STOREFRONT CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE POSTAL PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. POSTAL DOES NOT WARRANT THAT ANY STOREFRONT CONTENT IS FREE OF THIRD-PARTY CLAIMS, THAT ANY LICENSE IS VALID OR SUFFICIENT, OR THAT STOREFRONT WILL BE UNINTERRUPTED OR ERROR FREE. Section 12 of the Terms of Use applies in full.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE POSTAL PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO STOREFRONT, ANY STOREFRONT CONTENT, ANY CREATOR SERVICE OR DELIVERABLE, ANY AUCTION, ANY ROOM, OR ANY LICENSE, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF THE POSTAL PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO STOREFRONT, ANY STOREFRONT CONTENT, ANY CREATOR SERVICE OR DELIVERABLE, ANY AUCTION, ANY ROOM, OR ANY LICENSE GRANTED OR OBTAINED THROUGH STOREFRONT SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL PLATFORM FEES ACTUALLY RETAINED BY POSTAL FROM YOUR STOREFRONT TRANSACTIONS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (USD $100).

This limitation does not apply to liability for death or personal injury caused by Postal's negligence, or for Postal's fraud or fraudulent misrepresentation. If the law of your jurisdiction does not permit certain exclusions or limitations, those exclusions or limitations may not apply to you.

14. Eligibility, Suspension, and Termination

14.1 Storefront is offered at Postal's discretion and may be invite-only. Postal may grant, decline, condition, suspend, or revoke Storefront access at any time, for any reason or no reason.

14.2 Postal may suspend or terminate Storefront access, delist Content, or withhold or reverse payouts at any time, including where Postal reasonably suspects infringement, fraud, chargeback risk, or breach of the Agreement.

14.3 Postal has no liability for lost sales, lost revenue, lost data, or lost opportunity resulting from any action taken under this Section.

14.4 Licenses validly granted to Buyers before a Creator's termination survive that termination as between the Creator and the Buyer. Removal of the underlying Content does not affect a validly granted license; a license granted without the necessary rights may be void from inception as described in Section 6(f).

15. Creator Services

15.1 What a Creator Service is. A Creator Service is a service a Creator offers to a Buyer through Storefront, of the type the Creator selects when creating the listing. Postal is not a party to the engagement, does not perform, supervise, review, or guarantee any Creator Service, and makes no representation as to the quality, timeliness, or fitness for purpose of any Creator Service or any deliverable.

15.2 Rights profile. The service type a Creator selects determines what rights, if any, pass to the Buyer in any deliverable. The applicable rights profile is disclosed to the Buyer before purchase and is recorded with the transaction.

(a) Advisory Services (including feedback calls, written feedback, consultation, lessons, and programs). No rights in any material pass in either direction. The Creator acquires no interest of any kind in material the Buyer submits.

(b) Commissioned Work (including custom beats, custom songs, remixes, arrangements, and toplines). The deliverable is licensed by the Creator to the Buyer on the Postal standard license form for the tier the Creator selects for that listing, in the version in force at the time of the transaction. Publishing in the underlying composition is allocated as stated in that license, which the Creator configures per listing, with a fifty percent (50%) share to the Creator by default. The license issues on delivery and acceptance of the deliverable, and all provisions of that license, including its warranties, indemnities, restrictions, and governing law, apply to the deliverable as they would to any other Asset.

(c) Performance Services (including demo vocals, vocal production, background vocals, features, session playing, and studio sessions). In consideration of the service fee, the Creator irrevocably grants and assigns to the Buyer all right, title, and interest in the Creator's performance as embodied in the deliverable, including all master and composition rights in that performance, and waives all moral rights in it to the extent permitted by law. The Creator retains no royalty, publishing, or accounting interest. The Creator grants the Buyer the right to use the Creator's name, professional name, approved likeness, and biographical information solely to credit the performance and to promote the work in which it appears. The Creator's grant under this sub-clause is a full buy-out and is not a work made for hire under the United States Copyright Act.

(d) Engineering Services (including mixing, mastering, mix and master, and editing and tuning). In consideration of the service fee, the Creator acknowledges that it acquires no copyright, authorship, or other interest in any master recording or composition it works on, and irrevocably waives any such claim and all moral rights in the resulting master to the extent permitted by law.

(e) Promotional Services (including shout-outs). The Creator grants the Buyer a non-exclusive, perpetual, worldwide license to use the deliverable and the Creator's name, professional name, and approved likeness in connection with the Buyer's own promotion of the specific work or project identified in the order, and for no other purpose. Where a Promotional Service is paid for by or on behalf of a brand or advertiser, both parties are responsible for making any disclosure required by applicable advertising and consumer protection law.

Where a deliverable would fall within more than one profile, Commissioned Work governs. A demo vocal that carries original melody or lyrics written by the Creator is Commissioned Work, not a Performance Service, and the Creator must identify it as such when listing.

15.3 Material the Buyer submits. A Buyer may need to submit unreleased recordings, compositions, stems, or other material to a Creator so the Creator can perform a Creator Service ("Buyer Material"). The Buyer grants the Creator a limited, non-exclusive, non-transferable, non-sublicensable license to reproduce and modify Buyer Material solely to the extent necessary to perform that Creator Service, and for no other purpose. The Creator:

(a) shall keep all Buyer Material strictly confidential;

(b) shall not release, publish, perform, distribute, share, or use Buyer Material for any purpose other than performing the Creator Service, including any promotional, portfolio, or training purpose, without the Buyer's prior written consent;

(c) shall not use Buyer Material, or permit any third party to use it, to train, fine-tune, condition, or evaluate any machine learning or generative model, or to create synthetic vocals, voice models, or digital replicas of any voice embodied in it; and

(d) shall delete all copies of Buyer Material within thirty (30) days of completing or cancelling the Creator Service, except for any copy the Creator must retain by law.

Submission of Buyer Material grants the Creator no ownership interest of any kind. This Section survives completion, cancellation, and termination.

15.4 Delivery. Each Creator Service listing states a delivery window. Where none is stated, the delivery window is seven (7) days from purchase. Where a Creator has not delivered by the end of the delivery window and has not agreed an extension with the Buyer, the Buyer is entitled to a full refund, which Postal may issue and recover from the Creator's current or future payouts in accordance with Section 5.5.

15.5 Scheduled sessions and non-attendance. Where a Creator Service involves a scheduled session, the Buyer is entitled to reschedule once without charge on reasonable notice. A Buyer who does not attend a scheduled session, having already rescheduled once, is not entitled to a refund. A Creator who does not attend a scheduled session must refund the Buyer in full, and Postal may record a non-attendance against the Creator's Account. Postal may suspend a Creator's ability to list Creator Services following two (2) recorded non-attendances.

15.6 Refunds. Section 5.5 applies to Creator Services subject to this Section. A Creator Service is refundable until it has been delivered or, in the case of a scheduled session, until that session has taken place. Once a Creator Service has been delivered or the session has taken place, it is non-refundable except where the Creator has breached its representations and warranties.

15.7 No recording. Postal does not record any Creator Service session. Neither the Creator nor the Buyer may record, transcribe, or retransmit a session, in whole or in part, without the other party's prior written consent. Where both parties consent, the recording party is solely responsible for compliance with all applicable recording and privacy laws.

15.8 Creator representations. By listing a Creator Service, the Creator represents and warrants, in addition to Section 4, that it has the skill, capacity, and authority to perform the service as described; that any deliverable will be original to the Creator or fully cleared; that the deliverable will not infringe the rights of any third party; and that it holds any registration, license, or permit its jurisdiction requires in order to provide the service. The indemnity in Section 10 applies to Creator Services and to any deliverable.

16. Auctions

16.1 What an Auction is. An Auction is a listing in which Buyers bid for a license in an Asset over a stated period. The license granted to the winning bidder is the Postal standard license form for the tier stated in the listing, in the version in force at the close of the Auction. Postal is not the auctioneer, the seller, or a party to the resulting license, and acts only as the venue and as the Creator's limited payment collection agent.

16.2 Bids are binding. A bid is an irrevocable offer to purchase the license on the terms stated in the listing. A bid may not be retracted. A bid lapses only when it is exceeded by a higher bid or when the Auction closes without that bid being the highest.

16.3 Payment authorization. By placing a bid, the Buyer authorizes Postal and its payment processor to place a hold on the Buyer's payment method for the bid amount, and to capture that amount in full if the bid is the winning bid at the close of the Auction. Holds on unsuccessful bids are released. A Buyer whose payment method fails to authorize may not bid.

16.4 Close of the Auction. The Auction closes at the time stated in the listing, except that a bid placed in the final two (2) minutes extends the close by two (2) minutes from that bid. The highest bid at or above any reserve when the Auction closes wins. Where no bid meets the reserve, the Auction closes without a sale.

16.5 Reserve. A Creator may set a reserve price. The listing discloses whether a reserve has been set. The amount of the reserve is not disclosed.

16.6 No bidding by the Creator. Neither the Creator, nor any person acting on the Creator's behalf, nor any person with a financial interest in the listing or a relationship with the Creator that would affect the integrity of the bidding, may place a bid in that Auction. A bid placed in breach of this Section is void. Where Postal reasonably believes such a bid has been placed, Postal may void the Auction, cancel the resulting sale, withhold or reverse the Creator's payout in full, and suspend or terminate the Creator's Account. This Section is a material term.

16.7 Cancellation by the Creator. A Creator may cancel an Auction at any time before the first bid is placed. After the first bid, the Creator may not cancel, amend the listing, amend the reserve, or delist the Asset, and failure to complete the sale is a material breach.

16.8 Exclusive Auctions. Where the Auction is for an exclusive license, no other license in the Asset may be sold from the time the Auction opens until it closes, and the Asset may not be relisted, repriced, or otherwise made available. The count of previously granted non-exclusive licenses disclosed in the listing is therefore the count that applies at the close, and it is the count the winning bidder acknowledges under the exclusive license.

16.9 No warranty as to outcome. Postal does not guarantee that any Auction will attract a bid, meet a reserve, or complete, and has no liability for a failed, cancelled, voided, or interrupted Auction, including for technical failure. Postal may cancel or extend any Auction where it reasonably believes bidding has been manipulated or a technical failure has affected the result.

17. Rooms

17.1 What a Room is. A Room is a live audio session hosted by a Creator through Storefront. The Creator hosting a Room is the "Host". Rooms are free to join. Postal does not host, curate, pre-screen, or moderate the content of any Room, does not review it in advance, and is not a party to anything said or played in one.

17.2 Not recorded. Postal does not record, transcribe, or retain the audio of a Room. No replay is available. No participant may record, transcribe, retransmit, or republish a Room or any part of one without the prior written consent of every participant. Postal retains only the transactional record of who joined a Room and when, as described in the Privacy Policy.

17.3 What may be played. A Host, and any participant the Host permits to speak, may play only Content they own or control, or Content made available through the Service for that purpose. No participant may play, stream, or otherwise transmit any other sound recording or musical composition in a Room. This restriction is a material term and exists because the public performance of third-party recordings requires licenses that Postal does not hold on any user's behalf.

17.4 Moderation. The Host is responsible for conduct in their Room and has controls to mute and remove participants and to end the Room. Postal may, but is under no obligation to, remove a participant, end a Room, or suspend a Host's ability to host, at its sole discretion and with or without notice. Postal has no duty to monitor or pre-screen any Room, and Section 7 of the Terms of Use applies in full.

17.5 Reporting. Each Room provides a control by which a participant may report conduct or content to Postal. Postal reviews reports promptly and may take any action available to it under the Agreement. Postal does not undertake to reach any particular outcome.

17.6 Conduct. Section 6 of the Terms of Use applies in full to Rooms. Participation in a Room is at each participant's own risk, and Section 8 of the Terms of Use (Interactions With Other Users) applies to all interactions in a Room.

17.7 No paid Rooms. Rooms may not be ticketed, gated behind a payment, or used to solicit payment outside the Service. A Creator who wishes to charge for a live session must list it as a Creator Service under Section 15.

18. Changes to These Storefront Terms

Postal may update these Storefront Terms in accordance with Section 19.6 of the Terms of Use. The version of these Storefront Terms in effect and accepted at the time of a given transaction governs that transaction.

19. Survival

Sections 1 through 18 survive any termination or expiration of these Storefront Terms, of the Terms of Use, or of your Account.
