Terms of Use

Welcome and thank you for your interest in Postal Music Group, Inc. ("Postal", "we", "us" or "our"). This Terms of Use Agreement ("Terms of Use", and together with any applicable Supplemental Terms (as defined in Section 1.2 (Supplemental Terms)), the "Agreement") describes the terms and conditions that apply to your use of (i) the website located at postal.music and its subdomains (collectively, the "Website"), (ii) any mobile application(s) that we offer subject to these Terms of Use (each, an "Application"), and (iii) the services, content, and other resources available on or enabled via our Website or any Application (collectively, with our Applications and Website, the "Service").

PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT GOVERNS THE USE OF THE SERVICE AND APPLIES TO ALL USERS VISITING OR ACCESSING THE SERVICE. BY ACCESSING OR USING THE SERVICE IN ANY WAY, ACCEPTING THIS AGREEMENT BY CLICKING ON THE "I ACCEPT" BUTTON, COMPLETING THE ACCOUNT REGISTRATION PROCESS, BROWSING THE WEBSITE OR DOWNLOADING THE APPLICATION, YOU REPRESENT THAT:

YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT;
YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH POSTAL;
YOU ARE NOT BARRED FROM USING THE SERVICE UNDER THE LAWS OF YOUR PLACE OF RESIDENCE OR ANY OTHER APPLICABLE JURISDICTION; AND
YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT PERSONALLY OR, IF YOU ARE ACCESSING OR USING THE SERVICE ON BEHALF OF AN ENTITY, ON BEHALF OF THAT ENTITY.
IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE SERVICE.

If you subscribe to any feature or functionality of the Service for a term (the "Initial Term"), then your subscription will be automatically renewed for additional periods of the same duration as the Initial Term at Postal's then-current fee for such features and functionality unless you opt out of automatic renewal or decline to renew in accordance with Section 10.2 (Automatic Renewal).

Section 18 (Arbitration Agreement) contains provisions governing dispute resolution, including a binding arbitration requirement and a class-action waiver. Unless you opt out of arbitration within thirty (30) days as described in Section 18.10 (30-Day Right to Opt Out):

You may only pursue disputes on an individual basis (no class or representative actions).

You waive your right to a jury trial.

Any dispute relating to your use of the Service will be governed by and interpreted under the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

The Agreement is subject to change by Postal at our sole discretion at any time as set forth in Section 19.6 (Agreement Updates).

1. USE OF THE SERVICE

1.1 Application License. Subject to your compliance with this Agreement, Postal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the Application on a single device (each, a "Device") that you own or control, solely for your personal, non-commercial purposes. Commercial use is prohibited unless explicitly authorized in writing by Postal, except that Creators may use the Service for commercial purposes solely as expressly permitted by the Storefront.

1.2 Supplemental Terms. Your use of, and participation in, certain features or functionality of the Service may be subject to additional terms (“Supplemental Terms”). Supplemental Terms include, without limitation, the Storefront Supplemental Terms, which govern the listing, sale, licensing, purchase, and delivery of Content through Storefront. Such Supplemental Terms will either be set forth in the applicable supplemental feature or presented to you for acceptance when you sign up to use that feature. In the event of any conflict between these Terms of Use and the Supplemental Terms, the Supplemental Terms control with respect to the feature they govern.

1.3 Updates. You acknowledge that the Service is continuously evolving. Postal may require you to install updates to the Application on your Device to continue using the Service. Updates may be deployed with or without prior notice. You agree that any future releases, updates, or other additions to the Service will be subject to this Agreement. You may also need to update third-party software to continue using the Service. Critical security updates may be required to maintain access.

2. REGISTRATION

2.1 Registering Your Account. To access certain features of the Service, you must register for an account on the Service ("Account"), connect via a valid third-party social networking account ("Third-Party Account"), or use an account from the app store where you downloaded the Application.

2.2 Access Through a Third-Party Account. If you link your Account to a Third-Party Account, you authorize Postal to access, store, and use the information, content, and materials ("SNS Content") you provided to that account, in accordance with your agreement with that provider. All SNS Content you grant access to will be treated as "Your Content" under this Agreement. If your Third-Party Account is terminated or our access revoked, any SNS Content obtained may no longer be available. You may disconnect your Third-Party Account at any time via your Account Settings. Postal is not responsible for the Third-Party provider's actions, policies, or changes to access.

2.3 Registration Data. When you register, you agree to (a) provide true, accurate, current, and complete information as prompted by the registration form ("Registration Data"), and (b) promptly update your Registration Data to maintain accuracy and completeness.

2.4 Your Account Responsibilities. You have no ownership or other property interest in your Account, which remains the sole property of Postal. You are fully responsible for all activity under your Account and must:

Keep your password and Account credentials confidential and secure;

Restrict Account access by minors;

Notify us immediately of any unauthorized use of your Account or any other breach of security;

Not share your Account credentials or allow anyone else to use your Account.

Postal may suspend or terminate your Account and refuse all current or future use of the Service if you provide false information, breach this Agreement, or misuse your Account. You may only have one Account. Postal reserves the right to reclaim or remove any username at any time for any reason, including claims of rights infringement, and to refuse registration if you have been previously removed or banned.

3. NECESSARY EQUIPMENT AND SOFTWARE

You are responsible for providing all devices, software, and other equipment necessary to access and use the Service. You are solely responsible for any fees incurred to connect to or use the Service, including internet or mobile data charges.

4. RESPONSIBILITY FOR CONTENT

4.1 Types of Content. All content available through the Service—such as musical compositions, sound recordings, lyrics, data, text, software, photographs, graphics, videos, messages, tags, and other materials (collectively, "Content")—originates from you or other users. Postal is not responsible for any Content. You alone are responsible for all Content that you upload, post, transmit, or otherwise make available ("Make Available") via the Service ("Your Content"). Likewise, other users are solely responsible for Content they Make Available ("User Content").

4.2 Private Content; Public Content.

  • Private Content: Content that you do not share with other users remains "Private Content."

  • Public Content: Content you choose to share with one or more other users, including content shared on the Community Feed, becomes "Public Content."

You control sharing settings in your Account. Both Private Content and Public Content are treated as Your Content under this Agreement.

4.3 Storage. Unless otherwise agreed in writing, Postal has no obligation to store any of Your Content and disclaims all liability for deletion, loss, or failure to store, transmit, or receive any Content. Certain Service features may let you set access restrictions on Your Content; you are solely responsible for those settings. If you do not choose a restriction level, the Service may default to the most permissive setting. Postal reserves the right to impose reasonable limits on Content storage, file size, processing capacity, and similar constraints, and may remove or delete Content that violates this Agreement, is inactive, or exceeds storage limits.

4.4 Music Submissions. Postal may offer features that allow users to request and receive music submissions.

When you submit content through a music submission feature, you may be asked to provide personal information such as your name, email address, and other details. By submitting content, you acknowledge and agree that:

  • The information you provide will be shared with the recipient of your submission
  • The recipient may view, store, and use your submitted information to review your submission and contact you regarding your content
  • Your submission and contact information may be retained by the recipient for their records

If you choose to opt in to receive updates or communications, you provide your explicit consent for the recipient to contact you, including adding you to their mailing lists or marketing communications, in accordance with applicable laws.

Postal acts solely as a platform facilitating submissions and does not control how recipients use submitted information outside of the Service. Any use of your information by a recipient is governed by their own practices and applicable laws.

4.5 Storefront Content. Postal may offer a feature that allows eligible users (“Creators”) to list, license, and sell Content to other users (“Buyers”) (“Storefront”). Content listed for sale or license through Storefront (“Storefront Content”) is a subset of Your Content. Postal does not own, sell, license, resell, or take title to Storefront Content. All licenses in Storefront Content are granted directly by the Creator to the Buyer. Postal is not a party to any such license and is not a licensor, sublicensor, agent, or guarantor of any license. Postal makes no representation that any license is valid, enforceable, or sufficient for a Buyer's intended use, or that a Creator holds the rights necessary to grant it. All Storefront transactions are governed by the Storefront Supplemental Terms.

5. OWNERSHIP

5.1 The Service. Except for Your Content, all rights, title, and interest in and to the Service—including the website, applications, software, content, features, designs, text, graphics, logos, trademarks, and underlying code—are owned by Postal and its licensors. You may not remove, alter, or obscure any proprietary notices.

5.2 Trademarks. All Postal names, logos, and related trademarks are owned by Postal. You may not use them in connection with any product or service without Postal's prior written consent. All other trademarks appearing on the Service belong to their respective owners.

5.3 Your Content. Postal does not claim ownership of Your Content. By Making Available any Content, you represent that you have all rights necessary to grant the licenses described below.

5.4 License to Your Content.

  • Public Content: You grant Postal a non-exclusive, worldwide, perpetual, irrevocable, fully paid, royalty-free, sublicensable (through multiple tiers) license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display your Public Content, including content shared on the Community Feed—both in its original form and in derivative works—for the purpose of operating, improving, and promoting the Service.

  • Private Content: You grant Postal a non-exclusive, worldwide, perpetual, irrevocable, fully paid, royalty-free, sublicensable (through multiple tiers) license to use your Private Content solely to deliver the Service to you.

5.5 Username Attribution. By submitting Your Content to any public area of the Service, you allow Postal to attribute such Content to you by your username (which may be a pseudonym) in any media now known or later developed.

5.6 Feedback. If you provide any ideas, suggestions, documents, or proposals ("Feedback") relating to the Service, you grant Postal a non-exclusive, worldwide, perpetual, irrevocable, fully paid, royalty-free, sublicensable (through multiple tiers) license to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit such Feedback for any purpose, without obligation of confidentiality or compensation to you.

5.7 Storefront Content. Notwithstanding Section 5.4, the license you grant Postal in Storefront Content is limited to hosting, storing, reproducing, displaying, transmitting, and delivering that Content solely in order to operate Storefront, fulfill purchases, and promote your listing and the Service. Postal does not acquire, and you do not grant, any right for Postal to sell, license, sublicense, or otherwise commercially exploit Storefront Content on Postal's own behalf.

6. USER CONDUCT AND CERTAIN RESTRICTIONS

As a condition of use, you agree not to use the Service for any purpose that is prohibited by this Agreement or by applicable law, including infringing any third-party's intellectual property rights. You shall not (and shall not permit any third party to):

  • License, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Service or any portion thereof;
  • Frame or utilize framing techniques to enclose any trademark, logo, image, text, page layout, or form;
  • Use any metatags or hidden text using Postal's name or trademarks;
  • Modify, translate, adapt, merge, create derivative works of, disassemble, decompile, reverse compile, or reverse engineer any part of the Service except as expressly permitted by law;
  • Use manual or automated tools (e.g., spiders, robots, scrapers, crawlers, data-mining tools) to scrape or download data (other than for public search-engine indexing);
  • Remove or destroy any copyright or proprietary markings;
  • Impersonate any person or entity, including any Postal employee or representative;
  • Interfere with or attempt to interfere with the proper functioning or security of the Service, including by overloading, flooding, spamming, mail bombing, or crashing it;
  • Make available any Content that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of privacy, tortious, obscene, offensive, or profane; constitutes unauthorized or unsolicited advertising, junk or bulk email; involves contests, sweepstakes, barter, advertising, or pyramid schemes without Postal's prior written consent; or infringes a third party's intellectual or other proprietary rights.

You may not post or make available photographs of others without permission or musical compositions or sound recordings for which you do not own or lack the rights to license. Any unauthorized use of the Service terminates the licenses granted by Postal under this Agreement.

7. INVESTIGATIONS, MONITORING, & NO OBLIGATION TO PRE-SCREEN CONTENT

Postal may, but is not obligated to, investigate, monitor, pre-screen, remove, refuse, or review the Service and/or any Content (including Your Content and User Content) at any time, and you hereby provide your irrevocable consent to such monitoring. You acknowledge that you have no expectation of privacy with respect to any Content you transmit, store, or otherwise make available via the Service, including chat, text, or voice communications.

Without limiting the foregoing, Postal reserves the right to:

(a) Remove or refuse to post any of Your Content for any or no reason in its sole discretion;
(b) Take any action with respect to any of Your Content that Postal deems necessary or appropriate in its sole discretion, including if it believes such Content violates this Agreement, infringes any third party's rights, threatens the personal safety of users or the public, or could create liability for Postal;
(c) Disclose your identity or other information about you to any third party who claims that material you posted violates their rights, including intellectual property or privacy rights;
(d) Take appropriate legal action, including referral to and cooperation with law enforcement or other authorities, for any illegal or unauthorized use of the Service or if Postal believes criminal activity has occurred; and/or
(e) Terminate or suspend your access to all or part of the Service for any or no reason, including any violation of this Agreement.

Upon determining that you may have violated any provision of this Agreement, Postal may, in its sole discretion and without prior notice, immediately terminate your license to use the Service or alter, remove, or delete Your Content, in whole or in part.

If Postal believes criminal activity has occurred, Postal also reserves the right, to the extent not prohibited by law, to disclose any information or materials in its possession in connection with your use of the Service to:

(i) Comply with applicable laws, legal process, or governmental requests;
(ii) Enforce this Agreement;
(iii) Respond to claims that Your Content violates third-party rights;
(iv) Respond to your customer service requests; or
(v) Protect the rights, property, or personal safety of Postal, its users, or the public, as Postal deems necessary or appropriate.

8. INTERACTIONS WITH OTHER USERS

You are solely responsible for your interactions with other users of the Service and any other parties with whom you interact through the Service. Postal reserves the right, but has no obligation, to intercede in any disputes between you and other users. You agree that Postal is not responsible for any liability incurred as a result of your interactions with other users.

The Service may contain User Content provided by other users. Postal is not responsible for, and does not control, User Content. Postal does not approve or endorse, and makes no representations or warranties with respect to, User Content. You use all User Content and interact with other users at your own risk.

This Section applies in full to all interactions between Creators and Buyers on Storefront, including any dispute concerning rights ownership, sample clearance, license scope, delivery, quality, fitness for purpose, refunds, or chargebacks. Postal is not a party to any such dispute and has no obligation to investigate, mediate, arbitrate, or resolve it. If Postal elects to assist, doing so creates no duty, precedent, or liability.

9. THIRD-PARTY SERVICES

The Service may contain links to third-party websites ("Third-Party Websites"), applications ("Third-Party Applications"), and advertisements for third parties ("Third-Party Ads") (collectively, "Third-Party Services"). When you access a Third-Party Service, you will leave the Service and become subject to the terms and policies of that third party. Third-Party Services are not under Postal's control, and Postal is not responsible for them. Links are provided solely as a convenience; Postal does not review, approve, monitor, endorse, or make any representations regarding them or their products or services. You use all Third-Party Services at your own risk.

Postal may provide tools that allow you to export information, including Your Content, to Third-Party Services. By using these tools, you consent to the transfer of such information to the applicable Third-Party Service. Postal is not responsible for the use of your exported information by any third party.

With respect to any Application accessed through or downloaded from the Apple App Store (an "App Store Sourced Application"), you shall only use it (i) on an Apple-branded product that runs iOS, and (ii) as permitted by the "Usage Rules" set forth in the Apple Media Terms of Service, except that it may be accessed, acquired, and used by other accounts associated with the purchaser via Apple's Family Sharing, volume purchasing, or Legacy Contacts function.

When you access or download an App Store Sourced Application:

You may only use it (i) on an Apple-branded device that runs iOS, and (ii) in compliance with the Apple Media Terms of Service, except it may also be accessed by other accounts associated with the purchaser via Apple's Family Sharing, volume purchasing, or Legacy Contacts function.
This Agreement is between you and Postal only; Apple is not a party and is not responsible for the application or its content.
Apple has no obligation to provide maintenance or support services.
If the application fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price; Apple has no other warranty obligation.
Postal is responsible for any other claims, losses, liabilities, or damages related to the application.
Apple and its subsidiaries are third-party beneficiaries of this Agreement with respect to your license to the App Store Sourced Application and may enforce this Agreement as a third-party beneficiary.

You must comply with all applicable third-party terms when using an App Store Sourced Application.

10. FEES AND PURCHASE TERMS

Postal uses Stripe, Inc. and its affiliates ("Third-Party Service Provider") for payment processing. If you make a purchase, you provide payment information directly to Stripe. You agree to be bound by Stripe's Privacy Policy (https://stripe.com/us/privacy) and Terms of Service (https://stripe.com/ssa) and authorize Postal and Stripe to share your payment information to complete transactions. Postal is not responsible for payment declines, and Stripe may engage other parties under strict confidentiality.

You shall pay all fees or charges ("Fees") according to the billing terms in effect when due. By providing payment information, you authorize immediate invoicing without further notice. You must maintain accurate payment information and sufficient funds. Failure to provide accurate information or failure of payment constitutes a material breach. Except as otherwise stated, all Fees are non-refundable.

If you purchase a time-limited Subscription, Fees are billed at the start and at regular intervals per your selection. Postal may update billing or Subscription pricing per Section 19.6 (Agreement Updates) and will use reasonable efforts to notify you of price changes. If you do not agree, you may cancel as follows:

10.1 Automatic Renewal. Your Subscription automatically renews at Postal's then-current price until terminated. Renewal frequency is as elected and may be modified in your Account settings. By subscribing, you authorize Postal to charge your designated payment method at the start of each Renewal Term. If payment fails, (i) you must pay all due amounts upon demand, and/or (ii) Postal may suspend or terminate your Subscription and continue attempts until payment succeeds.

10.2 Cancelling Subscriptions Purchased via Postal. Log in → "Account Settings" → "Change/Cancel Membership," or email contact@postal.music. Cancellation must be completed before the next Renewal Term to avoid being charged for that term.

10.3 Cancelling Subscriptions Purchased via a Third-Party Store. Cancel directly with the third-party store before the Renewal Commencement Date. Cancellation must be completed before the next Renewal Term to avoid being charged.

10.4 Effect of Cancellation. Upon cancellation, your Subscription will remain active until the end of the then-current term. The Subscription will not automatically renew. No prorated refund is provided for any unused portion of the term. Cancellation does not relieve you of fees incurred prior to cancellation.

10.5 Upgrades and Downgrades. Upgrades take effect immediately with prorated fees; future Renewal Terms reflect upgrades. Downgrades take effect in the next Renewal Term and may result in loss of content/features. Postal is not liable for any such loss.

Fees exclude sales, use, or similar taxes ("Sales Tax"). If Postal must collect Sales Tax, it will be added. You are responsible for any Sales Tax you must remit. Payments must be free and clear of withholding taxes, which you bear and provide proof upon request.

Postal reserves the right to display Third-Party Ads before, after, or with content. You acknowledge that Postal has no obligation to share advertising revenue.

10.6 Storefront Payments. For Storefront transactions, the Creator is the seller of record. Postal acts solely as a limited payment collection agent for the Creator and is not a party to the sale. Postal is not a bank, escrow agent, fiduciary, or money transmitter. Funds settle to the Creator's Stripe connected account, less Postal's platform fee, and are subject to the Stripe Connected Account Agreement.

Refund and cancellation terms for Storefront purchases are set by the Creator, and refunds are the Creator's obligation. Postal may, at its sole discretion and without assuming liability, issue a refund, withhold a payout, delay a payout, or reverse a payout where it reasonably believes fraud, infringement, or a violation of this Agreement has occurred. Chargebacks, reversals, and associated fees are the Creator's responsibility and may be deducted from current or future payouts or invoiced to the Creator.

Each Creator is solely responsible for determining, collecting, reporting, and remitting all taxes arising from its Storefront sales. Postal does not provide tax advice.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Postal, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each, a "Postal Party" and collectively, the "Postal Parties") from and against any and all claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys' fees) arising from or relating to: (i) Your Content; (ii) your use of or inability to use the Service; (iii) your violation of this Agreement; (iv) your violation of the rights of any third party; (v) your violation of any laws or regulations; or (vi) any Storefront listing, transaction, or license, including any claim that Storefront Content, or a license you granted or obtained through Storefront, infringes, misappropriates, or violates the rights of any third party. Postal reserves the right, at its own cost, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to fully cooperate. This section does not require you to indemnify the Postal Parties for Postal’s fraud, misrepresentation, concealment, or unconscionable conduct. This obligation will survive termination of this Agreement.

12. DISCLAIMER OF WARRANTIES

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE POSTAL PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE POSTAL PARTIES DO NOT WARRANT THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (iii) ANY INFORMATION OR ADVICE OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED IS AT YOUR OWN RISK.

Postal may offer "beta" features, trials, or pre-release versions of the Service; you acknowledge that such features are provided without warranty and may be discontinued at any time.

13. NO LIABILITY FOR THIRD PARTIES

YOU ARE SOLELY RESPONSIBLE FOR YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS AND THIRD PARTIES. POSTAL DOES NOT SCREEN OR VERIFY USER CONTENT OR STATEMENTS, AND MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING, AND ASSUMES NO LIABILITY FOR, THE CONDUCT, GOODS, OR SERVICES OF ANY THIRD PARTY.

14. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE POSTAL PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE POSTAL PARTIES FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO POSTAL FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (USD $100). THIS LIMITATION DOES NOT APPLY TO LIABILITY FOR (a) DEATH OR PERSONAL INJURY CAUSED BY POSTAL'S NEGLIGENCE, OR (b) POSTAL'S FRAUD OR FRAUDULENT MISREPRESENTATION.

Storefront Cap. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO STOREFRONT, ANY STOREFRONT CONTENT, OR ANY LICENSE GRANTED OR OBTAINED THROUGH STOREFRONT, THE AGGREGATE LIABILITY OF THE POSTAL PARTIES SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL PLATFORM FEES ACTUALLY RETAINED BY POSTAL FROM YOUR STOREFRONT TRANSACTIONS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (USD $100).

If the law of your jurisdiction does not permit exclusion or limitation of certain damages, those exclusions or limitations may not apply to you.

15. PROCEDURE FOR INTELLECTUAL PROPERTY CLAIMS

Postal's policy is to terminate, in appropriate circumstances, users who are repeat infringers. If you believe that your copyright or other intellectual property rights have been infringed, please provide the following information to Postal's designated agent:

Your physical or electronic signature.
Identification of the copyrighted work or other intellectual property you claim has been infringed.
Identification of the material you claim is infringing, with sufficient detail for Postal to locate it.
Your address, telephone number, and email address.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright or intellectual property owner, or authorized to act on the owner's behalf.

Postal may remove Storefront Content, delist packs, void listings prospectively, suspend or reverse payouts, or terminate accounts in response to a claim of infringement or a suspected violation of this Agreement, at its sole discretion and with or without notice. Removal does not obligate Postal to refund any Buyer or compensate any Creator, and creates no duty to investigate or adjudicate the underlying claim.

16. TERM AND TERMINATION

This Agreement remains in effect until terminated as set forth herein.

By Postal. Postal may suspend or terminate your access to the Service immediately, with or without notice, if you materially breach this Agreement, engage in unlawful use, or for any other reason at Postal's discretion. All fees paid are non-refundable.

By You. You may terminate this Agreement at any time by closing your Account and providing written notice to Postal at the address above. Termination will take effect at the end of your current subscription term, unless you cancel pursuant to Section 10.2.

Effect of Termination. Upon termination, your right to use the Service ceases immediately, and Postal may delete your Content without liability. The provisions of this Agreement that, by their nature, should survive termination (including but not limited to ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

No Subsequent Registration. If your Account is terminated for cause, you may not register for or use the Service again under any account.

17. INTERNATIONAL USERS

The Service is controlled and operated by Postal from its offices in Canada. Postal makes no representations that the Service is appropriate, available, or lawful for use in other locations. Accessing or using the Service from territories where its content, features, or functionality is illegal is strictly prohibited. If you access the Service from outside Canada, you do so on your own initiative and are solely responsible for compliance with all local laws, rules, and regulations, including those relating to data privacy, online conduct, and acceptable content.

18. ARBITRATION AGREEMENT

18.1 Applicability. You and Postal agree to resolve any dispute, claim, or disagreement arising under or relating to this Agreement, the Service, or prior versions thereof (each, a "Dispute") by binding arbitration, except that (i) you or Postal may seek small-claims relief in small claims court if qualified, and (ii) you or Postal may seek equitable relief in court for intellectual property infringement.

18.2 Informal Resolution. Before arbitration or small claims proceedings may be initiated, the parties shall participate in an Informal Dispute Resolution Conference, to be conducted in good faith by phone or video within forty-five (45) days after written notice of the Dispute is sent to Postal at legal@postal.music or 2702-401 Bay St., Toronto, ON M5H 2Y4. The notice must include your contact information, the contact information of your counsel (if any), and a description of the Dispute. All applicable deadlines are tolled during this process. Notice will be deemed received when Postal confirms receipt by email.

18.3 Waiver of Jury Trial. YOU AND POSTAL WAIVE RIGHTS TO A JURY OR COURT TRIAL. All Disputes go to arbitration per this Agreement, except as above.

18.4 Waiver of Class Relief. YOU AND POSTAL AGREE CLAIMS CAN ONLY BE BROUGHT INDIVIDUALLY, NOT AS A CLASS OR COLLECTIVE. The arbitrator may award relief only for the individual claimant. If a court finds this unenforceable for a claim, that claim may proceed to court; all others remain in arbitration or small claims.

18.5 Rules and Forum. Governed by the Arbitration Act, 1991 (Ontario), and administered by the ADR Institute of Canada (ADRIC) under its Arbitration Rules, unless the parties agree otherwise. After Informal Resolution fails in 60 days, a party may commence arbitration by submitting a Request for Arbitration that includes the claimant's contact information, Account details, claims, relief sought, proof of Informal Resolution, and any required fees. If represented, counsel must sign. Unless otherwise agreed by the parties, arbitration shall be conducted in Toronto, Ontario, or remotely by video/teleconference if permitted by the applicable arbitral rules, and all proceedings shall remain confidential.

18.6 Arbitrator. A retired judge or an attorney licensed to practice law in the Province of Ontario, selected from the roster of the ADR Institute of Canada (ADRIC) or another mutually agreed arbitral institution. If the parties cannot agree within thirty-five (35) days, the appointing authority of ADRIC (or the designated arbitral institution) will appoint the arbitrator.

18.7 Authority. The arbitrator decides all Disputes, including arbitrability, except challenges to the class waiver (18.4), fee disputes (unless batch), conditions precedent, or which version applies—those go to court. No consolidation except under batch rules. The arbitrator may grant dispositive motions and must issue a written award; it is final and enforceable in court.

18.8 Fees & Costs. Each party will bear its own costs and legal fees, unless the arbitrator determines otherwise in accordance with the Arbitration Act, 1991 (Ontario) or applicable arbitral rules. A party compelling arbitration through court proceedings may recover reasonable costs and fees incurred, and a prevailing party in court enforcement of an award may also recover such costs and fees. If the arbitrator determines that a claim or defense was frivolous, vexatious, or brought for an improper purpose, the prevailing party may recover its reasonable attorneys' fees and costs.

18.9 Consolidation of Claims. Multiple arbitrations involving substantially similar facts or claims may be consolidated into a single proceeding if agreed by all parties or if ordered by the arbitrator to promote efficiency and fairness.

18.10 30-Day Right to Opt Out. You may opt out of arbitration by sending written notice to Postal at the address above or legal@postal.music within 30 days of first being subject to these terms. Include your name, address, Account email, and a clear statement opting out. All other terms remain. Opt-out does not affect other arbitration agreements with Postal.

18.11 Invalidity & Limitations. If any part (other than 18.4) is invalid, it is severed and the remainder survives. Any Dispute must be initiated within applicable limitation periods or be time-barred; those periods apply in arbitration as in court.

18.12 Modification. Postal will notify you of material changes. If you don't object in writing within 30 days to the address above, continued use of the Service signifies acceptance of the changes. Changes do not grant a new opt-out right. If you reject the changes, the version you first accepted (and any valid opt-out) continues to govern. Postal may modify this Arbitration Agreement from time to time, but any material changes will not apply retroactively to claims that were filed or disputes that arose prior to the effective date of the modification.

19. GENERAL PROVISIONS

19.1 Electronic Communications. Communications between you and Postal may be electronic—via the Service or email. For contractual purposes, you (i) consent to receive electronic communications, and (ii) agree that electronic notices satisfy any writing requirement. This does not affect your statutory rights under Canadian law, including consumer protection rights under the laws of your province or territory of residence (such as the Consumer Protection Act (Quebec), if applicable). You agree to receive all communications electronically. Notices shall be deemed delivered when sent to the last email address you provided to Postal.

19.2 Assignment. You may not assign, subcontract, delegate, or transfer this Agreement without Postal's prior written consent. Postal may freely assign or transfer this Agreement. Any unauthorized transfer is null and void.

19.3 Force Majeure. Postal is not liable for delays or failures due to causes beyond reasonable control, including acts of God, war, terrorism, riots, embargos, government actions, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.

19.4 Questions, Complaints, Claims. For questions or complaints, contact contact@postal.music. If you feel your concern wasn't fully addressed, let us know for further investigation.

19.5 Consumer Complaints. Canadian residents may report complaints to provincial consumer affairs offices. Ontario residents may contact:

19.6 Agreement Updates. When changes are made, Postal will post a new copy of this Terms of Use (and any Supplemental Terms) on the Service and update the "Last Updated" date. If we make material changes and you have an Account, we will email you an updated copy. Unless otherwise stated, changes take effect immediately for non-Account users and 30 days after posting for Account holders. Postal may require you to consent to the updated Agreement before further use. IF YOU DO NOT AGREE TO ANY CHANGE AFTER NOTICE, YOU MUST STOP USING THE SERVICE.

19.7 Exclusive Venue. Any permitted litigation (i.e., disputes not subject to arbitration under Section 18) must be brought exclusively in the provincial or federal courts located in Toronto, Ontario, Canada, and the parties consent to personal jurisdiction there.

19.8 Governing Law. This Agreement and any related action are governed by and construed under the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.9 Choice of Language. The parties expressly wish that this Agreement and all related documents be drawn up in English.

19.10 Notice. Notices to Postal must be sent by registered mail or courier to Postal Music Group, Inc., 2702-401 Bay St., Toronto, Ontario, Canada M5H 2Y4, with a copy to legal@postal.music. Notices shall be deemed given when delivered and confirmed by the delivery service or Postal's written acknowledgment.

19.11 Waiver. No waiver or failure to enforce any provision on one occasion constitutes a waiver of any other provision or of such provision on another occasion.

19.12 Severability. If any portion is held invalid or unenforceable under Ontario law, it will be limited or eliminated to the minimum extent necessary so that the remainder remains in full force.

19.13 Export Control. You may not use or access the Service if you are located in a country embargoed by Canada or the United States, or if you are on any Canadian or U.S. government restricted party list. You agree to comply with all applicable Canadian and U.S. export control and sanctions laws.

19.14 Entire Agreement. This Agreement is the final, complete, and exclusive agreement of the parties with respect to its subject matter and supersedes all prior discussions.
