Storefront Terms

These Storefront Supplemental Terms (“Storefront Terms”) are Supplemental Terms under Section 1.2 of the Postal Terms of Use (the “Terms of Use”) and are incorporated into and form part of your agreement with Postal Music Group, Inc. (“Postal”, “we”, “us”). Capitalized terms not defined here have the meanings given in the Terms of Use.

These Storefront Terms apply to any user who lists, sells, or licenses Content through Storefront (a “Creator”) and to any user who purchases or licenses Content through Storefront (a “Buyer”).

In the event of a conflict between these Storefront Terms and the Terms of Use, these Storefront Terms control with respect to Storefront. All other provisions of the Terms of Use, including Section 12 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 18 (Arbitration Agreement), and Section 19.8 (Governing Law), apply in full to Storefront and are incorporated here by reference.

BY LISTING CONTENT ON STOREFRONT, OR BY PURCHASING OR LICENSING CONTENT THROUGH STOREFRONT, YOU AGREE TO BE BOUND BY THESE STOREFRONT TERMS.

1. Role of Postal

1.1 Storefront is a technology platform that allows Creators to list, price, license, and deliver Content (“Storefront Content”) to Buyers.

1.2 Postal is not a party to any transaction, license, or agreement between a Creator and a Buyer. Postal does not own, sell, license, sublicense, resell, distribute, or take title to any Storefront Content.

1.3 Postal acts solely as a venue and as a limited payment collection agent for the Creator. Postal is not a bank, escrow agent, fiduciary, broker, or money transmitter.

1.4 Nothing in these Storefront Terms creates a partnership, joint venture, employment, agency (other than the limited payment collection agency described in Section 5), or fiduciary relationship between Postal and any Creator or Buyer.

2. The License Is Between Creator and Buyer

2.1 Every license granted through Storefront is granted directly by the Creator to the Buyer.

2.2 Postal is not a licensor, sublicensor, agent, or guarantor of any license granted through Storefront.

2.3 Postal makes no representation or warranty that any license is valid, enforceable, or sufficient for any Buyer's intended use, or that any Creator holds the rights necessary to grant it.

2.4 Postal has no obligation to enforce any license against any party, and no obligation to assist any Creator or Buyer in enforcing a license.

3. License Templates Are a Convenience, Not Legal Advice

3.1 Postal may make optional license templates available through the Storefront license picker or elsewhere in the Service.

3.2 These templates are provided “as is,” for convenience only, and do not constitute legal advice. Postal is not a law firm and does not provide legal services.

3.3 Postal does not review, approve, verify, or endorse any license terms selected, modified, drafted, or uploaded by a Creator.

3.4 Creators and Buyers are solely responsible for determining whether a given license is appropriate for their circumstances and intended use, and should consult their own legal counsel.

3.5 To the maximum extent permitted by law, Postal disclaims all liability arising from the use of, reliance on, modification of, or any defect or omission in any license template made available through the Service.

4. Creator Representations and Warranties

By listing Storefront Content, a Creator represents and warrants, on a continuing basis and as of the date of each sale, that:

(a) it owns or controls all rights, title, and interest in and to the Storefront Content, including all sound recording, master, and musical composition rights, or has obtained all clearances, licenses, and consents necessary to grant the licenses it offers;

(b) the Storefront Content does not and will not infringe, misappropriate, or violate the intellectual property, publicity, privacy, moral, or contractual rights of any third party;

(c) all samples, loops, interpolations, vocals, and third-party materials contained in or used to create the Storefront Content are original to the Creator or fully cleared for the license terms offered;

(d) it has the full legal capacity, right, and authority to grant the licenses it offers, and doing so does not breach any agreement to which it is a party, including any exclusive recording, publishing, production, or administration agreement;

(e) all featured contributors, co-writers, producers, and performers have consented to the sale and licensing of the Storefront Content on the terms offered;

(f) the Storefront Content, its listing, its metadata, and its artwork comply with all applicable laws and with the Terms of Use; and

(g) all information the Creator provides to Postal or to Stripe in connection with Storefront, including payout and tax information, is true, accurate, current, and complete.

5. Payments, Fees, Refunds, Chargebacks, and Taxes

5.1 Seller of record. The Creator is the seller of record for all Storefront transactions. Postal acts solely as a limited payment collection agent for the Creator.

5.2 Processing. Payments are processed by Stripe, Inc. and are subject to the Stripe Connected Account Agreement and Stripe's terms and privacy policy. Funds settle to the Creator's Stripe connected account, less Postal's platform fee.

5.3 Platform fee. Postal retains a platform fee on each transaction, as disclosed in the Service. Postal may change its platform fee on notice in accordance with Section 19.6 of the Terms of Use.

5.4 Availability. Storefront payouts depend on Stripe's availability in a Creator's jurisdiction. Postal does not guarantee that Storefront or payouts will be available in any particular country or region, and may suspend or withdraw availability at any time.

5.5 Refunds. Refund and cancellation terms for Storefront purchases are set by the Creator and disclosed at checkout. Refunds are the Creator's obligation. Postal may, at its sole discretion and without assuming liability or any ongoing duty, issue a refund to a Buyer and recover the amount from the Creator's current or future payouts.

5.6 Chargebacks. Chargebacks, payment reversals, and associated fees are the Creator's responsibility and may be deducted from current or future payouts or invoiced to the Creator. Postal may require the Creator to maintain a reserve.

5.7 Withholding. Postal may withhold, delay, or reverse any payout where it reasonably suspects fraud, infringement, chargeback risk, or a breach of these Storefront Terms or the Terms of Use. Postal has no liability for lost sales, lost revenue, or lost opportunity resulting from such action.

5.8 Taxes. Each Creator is solely responsible for determining, collecting, reporting, and remitting all taxes arising from its Storefront sales, and for any registration obligations in any jurisdiction. Postal does not provide tax advice.

6. Buyer Acknowledgments

By purchasing or licensing Storefront Content, the Buyer acknowledges and agrees that:

(a) it is contracting with the Creator, not with Postal;

(b) Postal makes no representation or warranty as to the ownership, originality, clearance status, quality, fitness for purpose, or non-infringing character of any Storefront Content;

(c) Postal does not verify a Creator's rights and has no obligation to do so;

(d) any claim relating to Storefront Content or to a license lies against the Creator, and not against Postal;

(e) the Buyer is solely responsible for its use of Storefront Content and for obtaining any additional clearances, licenses, or consents that its intended use may require, including any sample clearance, publishing, or master use license required by a third party;

(f) a license may be terminated, suspended, or voided prospectively if the Storefront Content is removed following an infringement claim, and Postal is not obligated to refund the Buyer in that event; and

(g) the Buyer will look solely to the Creator for any remedy and, to the fullest extent permitted by law, waives and releases any claim against Postal in connection with Storefront Content or any license.

7. No Verification, No Endorsement

7.1 Postal does not screen, verify, authenticate, or audit Creators, Storefront Content, rights ownership, clearance status, or license terms, and has no obligation to do so.

7.2 Listing on Storefront is not an endorsement by Postal.

7.3 Any verification badge, curation, editorial selection, featured placement, invitation, or recommendation by Postal is for discovery purposes only and constitutes no representation as to rights, ownership, clearance, quality, or fitness for any purpose.

8. Disputes Between Creators and Buyers

8.1 Any dispute between a Creator and a Buyer is solely between those parties.

8.2 Postal has no obligation to intercede, investigate, mediate, arbitrate, or resolve any such dispute. If Postal elects to assist, doing so creates no duty, precedent, or liability, and Postal may cease doing so at any time.

8.3 Each Creator and Buyer, to the fullest extent permitted by law, releases Postal and the Postal Parties from all claims, demands, damages, and liabilities of every kind, known and unknown, arising out of or connected with any dispute between users of Storefront.

9. Infringement Claims, Removal, and Takedown

9.1 Postal maintains a notice-and-takedown process as described in Section 15 of the Terms of Use.

9.2 Postal may remove Storefront Content, delist packs, void listings prospectively, suspend or reverse payouts, or terminate accounts in response to a claim of infringement or a suspected violation of the Agreement, at its sole discretion and with or without notice.

9.3 Postal terminates repeat infringers.

9.4 Removal or delisting does not obligate Postal to refund any Buyer or to compensate any Creator, and creates no duty on Postal to investigate or adjudicate the underlying claim.

10. Creator Indemnification

The Creator will defend, indemnify, and hold harmless Postal and the Postal Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) the Storefront Content; (ii) any license granted by the Creator; (iii) any breach of the representations and warranties in Section 4; (iv) any dispute between the Creator and a Buyer; (v) any tax or regulatory obligation of the Creator; (vi) any chargeback, reversal, or refund obligation; or (vii) the Creator's use of Storefront. This obligation survives termination.

11. Buyer Indemnification

The Buyer will defend, indemnify, and hold harmless Postal and the Postal Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to the Buyer's use, exploitation, distribution, or commercial release of Storefront Content, or the Buyer's breach of any license. This obligation survives termination.

12. Disclaimer of Warranties

STOREFRONT AND ALL STOREFRONT CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE POSTAL PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. POSTAL DOES NOT WARRANT THAT ANY STOREFRONT CONTENT IS FREE OF THIRD-PARTY CLAIMS, THAT ANY LICENSE IS VALID OR SUFFICIENT, OR THAT STOREFRONT WILL BE UNINTERRUPTED OR ERROR FREE. Section 12 of the Terms of Use applies in full.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE POSTAL PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO STOREFRONT, ANY STOREFRONT CONTENT, OR ANY LICENSE, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF THE POSTAL PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO STOREFRONT SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL PLATFORM FEES ACTUALLY RETAINED BY POSTAL FROM YOUR STOREFRONT TRANSACTIONS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (USD $100).

This limitation does not apply to liability for death or personal injury caused by Postal's negligence, or for Postal's fraud or fraudulent misrepresentation. If the law of your jurisdiction does not permit certain exclusions or limitations, those exclusions or limitations may not apply to you.

14. Eligibility, Suspension, and Termination

14.1 Storefront is offered at Postal's discretion and may be invite-only. Postal may grant, decline, condition, suspend, or revoke Storefront access at any time, for any reason or no reason.

14.2 Postal may suspend or terminate Storefront access, delist Content, or withhold or reverse payouts at any time, including where Postal reasonably suspects infringement, fraud, chargeback risk, or breach of the Agreement.

14.3 Postal has no liability for lost sales, lost revenue, lost data, or lost opportunity resulting from any action taken under this Section.

14.4 Licenses validly granted to Buyers before a Creator's termination survive that termination as between the Creator and the Buyer, except where the underlying Content is removed following an infringement claim.

15. Changes to These Storefront Terms

Postal may update these Storefront Terms in accordance with Section 19.6 of the Terms of Use. The version of these Storefront Terms in effect and accepted at the time of a given transaction governs that transaction.

16. Survival

Sections 1 through 15 survive any termination or expiration of these Storefront Terms, of the Terms of Use, or of your Account.
